TRAILER CONTEST OFFICIAL RULES

1. THE CONTEST:

The “LEFT ON MISSION”TRAILER CONTEST (the “Contest”) is a promotion for creative minded comic bookfans (the “Entrant”) who are invited to test their production skills and submitan original trailer for the comic book LEFT ON MISSION that is 45-90 seconds long using the suppliedartwork, script and theme music (“Trailer Submission”).

2. SPONSOR:

This Contest is sponsored and conducted by Boom! Studios,1800 Century Park East, Suite 200, Los Angeles, CA 90067 (“Sponsor”)

3. ELIGIBILITY:

This Contest is open to persons who are over the age ofmajority in their jurisdiction. Employees of Boom! Studios and their respectiveparents, subsidiaries, affiliates, agencies and assigns, and their immediatefamily members (spouses and parents, children and siblings, and their spouses)as well as individuals living in the same households of such employees areineligible. The Contest is subject to all applicable federal, state, local andprovincial laws and regulations and is void where prohibited.

LIMIT ONE ENTRY PER PERSON. Entries generated by script,macro or other automated means are void. All entries become the property ofSponsor and will not be acknowledged or returned.

4. HOW TO ENTER:

a) Submit your registration through the designated “LEFTON MISSION” TRAILER CONTEST website. Byregistering you acknowledge reading, accepting, and agreeing to any and all theterms as set forth in these Official Rules.

b) Once registered you will receive an email (the“registration email”) with a link to a site where you can download all themedia assets involved you will need to make the trailer, including artwork fromLEFT ON MISSION, a trailer script, andtheme music. Using this media you will create a video trailer that is 45-90seconds long (see Trailer Requirements below).

c) When yourtrailer is complete, compose an email to “lomsubmission@gmail.com” with a link(see Trailer Requirements below) to your submission including your name,daytime telephone number, address, city, state, zip code, date of birth, emailaddress. This email must be sent by 11:59 p.m. PST on May 13, 2007.

d) In the eventof a dispute regarding entries received from multiple users having used thesame e-mail account, the authorized subscriber of the e-mail account at thetime of entry will be deemed to be the entrant and must comply with theserules. Authorized account subscriber is the natural person who is assigned thee-mail address by the Internet Service Provider (ISP), on-line service provideror other organization responsible for assigning e-mail addresses.

5. TRAILER DESCRIPTION AND SCORING:

Create a 45-90 seconds long video trailer (“Trailer”) usingthe supplied artwork, script and theme music. Before you start, please readthese Official Rules, including the Terms of Submission (below), carefully.Your Trailer must be original and unpublished. See below for complete Terms ofSubmission.

Entries will be judged on originality (30% of score),creativity (30% of score), and ability to generate interest in reading LEFTON MISSION (40% of score).

6. TRAILER REQUIREMENTS:

Your Trailer entry must satisfy the following requirements:

(a) The Trailer must promote LEFT ON MISSION, enticing readers to discover a truly outstandingnew comic book. All Entrants must register and then download the suppliedartwork, script and theme music for LEFT ON MISSION at the supplied link, and base their ideas off thematerial provided.

(b) The Trailer must successfully communicate the genre and toneof LEFT ON MISSION. Depiction ofcharacter, setting and plot should be consistent with LEFT ON MISSION’s depiction of character, setting and plot.However, the Trailer is not required to dramatize any specific scene in LEFTON MISSION.

(c) The Trailer must focus on the content of LEFT ON MISSION itself. It cannot, for example, be themed aroundthe author(s) or artist(s), or content not supplied by Sponsor.

(d) The Trailer mustbe 45-90 seconds in length and must feature fifty percent or more of theartwork, script and theme music provided.

(e) The Trailer mustbe 320x240 or greater resolution in MPEG4 format with MP3 audio at 30 framesper second and QuickTime compatible.

(f) The final 5-10 seconds of the Trailer must feature:

1. The supplied logo for LEFT ON MISSION as its own title card.

2. The text “Created and Written by Chip Mosher,” “Drawn byFrancesco Francavilla,” “Colored by Martin Thomas,” “Covers by Steph Stamb” ona single title card in descending order.*

3. The supplied logo for Boom! Studios as its own title card.

4. The text “Theme by Mike Griffen” and “www.mikegriffen.com” ona single title card in descending order.*

5. The text “Trailer by (Entrant’s Name)” as its own title card.*

*All text must match font and sizeexcept for supplied logos.

(g) The Trailer must NOT include:

1. Any material (artwork, photographs, etc.) created by partiesother than you.

2. Any music other than the music supplied by Sponsor.

3. Any recognizable trademarks or logos other than Boom! Studiosand LEFT ON MISSION.

4. Nudity, profanity,or explicit sexual themes.

(h) The Trailer may include:

1.  Your own sound effects created by you.

2.  Your own narration/voice-over.

3.  Your own actors.

(i) The Trailer must be hosted by Entrant.  A functioning link to the Trailer mustbe provided in Entrant’s submission email that is sent to“lomsubmission@gmail.com.” Hosting of Entrant’s Trailer must continue until theannouncement of the winner of the Contest. Hosting must NOT be on any publiclyaccessible video hosting site, i.e. YouTube.com or MySpace.com.

7. TERMS OF SUBMISSION:

Originality: Yourepresent and warrant that your Trailer is your original work and does notcontain any third-party music or content (such as writing, poetry, text,graphics, artwork or logos), or any inappropriate or offensive materials. If you include artwork in your Trailer,you further represent, warrant and agree that it is your original creation,created only by you and does not contain any pre-existing elements that would infringeon the copyrights or other rights of others, except that you make norepresentations or warranties with respect to the materials provided bySponsor. Any Videos containing material that is pornographic or otherwiseobscene, illegal, racially or morally offensive, or defamatory, as determined bySponsor, in its sole discretion, may be rejected as ineligible for judging.Entries must comply with all laws, rules, and regulations including, but notlimited to, those concerning copyright, plagiarism, trademark, defamation andinvasion of privacy.

People Appearing in the Trailer: If the Trailer contains the image, likeness,voice, name or other identifying characteristic of any third party, yourepresent, warrant and agree that you have the written permission from suchthird party to grant the right to use of his/her image, likeness, voice, nameand/or other identifying characteristic in the manner authorized under theseOfficial Rules (as described below). In addition, and without in any waylimiting the foregoing, if you submit an image of someone who is under 18 yearsof age, you must be that child's parent or legal guardian. Sponsor may requirefinalists to provide an original written permission from such persons, in aform satisfactory to Sponsor.

8. ASSIGNMENT, GRANT AND WAIVER: Byparticipating, entrants agree to be bound by these Official Rules and thedecisions of the representatives of the Sponsor who will be judging the entriesand/or any other sponsors, which are binding and final on matters relating tothis Contest. BY ENTERING, YOU AGREE THAT: (i) your Trailer becomes Sponsor's property andwill not be returned, and (ii) Sponsor has the right to alter and/or edit theTrailer or any part or element thereof in its sole discretion. YOUFURTHER AGREE THAT, by submitting yourTrailer, you are at such time irrevocably assigning to Sponsor, its affiliates,and its licensees, successors and assigns all right, title and interest(including but not limited to, the copyright, all rights to prepare derivativeworks, all goodwill and all moral rights) in and to the Trailer and in and toany and all literary and cinematic elements of the Trailer utilized by you,including but not limited to ideas, concepts, themes, plots, formats,characters, portrayals, voices, costumes, settings, scenes and depictions.Without limiting the foregoing, you expressly grant Sponsor, its promotionaland advertising agencies, and its licensees, successors and assigns the rightto use all or part of your Trailer for future advertising, promotion andpublicity in any manner and in any medium now known or hereafter devisedthroughout the world in perpetuity. You grant the Sponsor these rights whetheror not you are selected as a winner. YOU WILL NOT BE PAID FOR YOURTRAILER or for granting Sponsor any ofthese rights. Sponsor, its affiliates, and its licensees, successors andassigns are in no way obligated to use your Trailer (and have no obligation toyou or any other person or entity after your Trailer is received), and you mayor may not be given any credit if your Trailer is used. Sponsor may elect topost, exhibit or utilize any, all, or none of your Trailer at Sponsor'sdiscretion. If Sponsor does elect to use your Trailer or any part thereof,Sponsor may remove all or any part of it at any time for any or no reason, andSponsor may use all or any part of it in any way that Sponsor elects, in itssole discretion. You agree to waive all claims to and shall receive nocompensation of any kind now or in the future from Sponsor, its affiliates, orits licensees, successors and assigns for use of your Trailer, includingcopyright, trademark, public performance, digital sound recording, mechanical,synchronization or master use royalties, and you represent, warrant and agreethat no other party is entitled to claim royalties from the use of the Traileras set forth in these Official Rules. You further release Sponsor and all thirdparties from any and all claims, demands and liabilities of every kindwhatsoever, known or unknown, which may arise in relation to the use ofmaterial similar to the Trailer, or by reason of any claim now or hereaftermade by you. Your Trailer may not be acknowledged and will not be received orheld “in confidence” and your submission of the Trailer does not create aconfidential relationship or obligation of secrecy between you and Sponsor, anyof its affiliates or any of its licensees, successors or assigns. You may notresell, assign or transfer any of your rights under these Official Rules.

All rights in and to LEFT ON MISSION (including but not limited to the rights to preparederivative works) are retained by Laurance Coleman Mosher III and Boom! Studiosand/or their licensees and assigns.

By submitting your Trailer, you acknowledge that you haveread and understood these Official Rules, and you accept these Official Rulesand agree to abide by their terms and conditions, and all other applicablerules and regulations.

9. SELECTION OF WINNER:Beginning on the day of the first Trailer submission, each eligible Trailerwill be reviewed by qualified judges as assigned by the Sponsor (“Judges”) whowill review Videos on a rolling basis, as they are submitted, up until theentry deadline. The Contest winner will be selected on or around May 16, 2007.The decisions of the Judges are final and not subject to challenge or appeal.

10. PRIZE: One (1)Grand Prize winner will be selected by the Judges (the “Grand Prize Winner”).All judges' decisions are final. The Grand Prize Winner will, at Sponsor's solediscretion, have his/her Trailer used as part of the LEFT ON MISSION advertising campaign as placed by the Sponsor inits discretion, and posted on the official LEFT ON MISSION website, www.leftonmission.com. The Grand PrizeWinner will also receive a prize of one (1) limited edition, signed andnumbered (1 of 1) hardcover copy of LEFT ON MISSION #1. Also, the Grand Prize Winner will receivesigned copies of LEFT ON MISSIONissues 1-5 when they are available (total approximate value $100). The Winnerwill be notified by telephone or e-mail on or around May 16, 2007. In the eventthat insufficient qualified entries are received, Sponsor reserves the right,in its sole discretion, to not award the Grand Prize. Prizes are nottransferable and may not be substituted or redeemed for cash, except atSponsor's sole discretion.

11. RELEASE OF LIABILITY:: Sponsor, its parents, subsidiaries and affiliates, its licensees,successor and assigns (collectively, “Released Parties”) are not responsiblefor lost, late, incomplete, inaccurate, stolen, misdirected, damaged, incomplete,incorrect, misrouted, undelivered, garbled, illegible or postage-due mail,entries or email; or for lost, interrupted or unavailable network, server,Internet Service Provider (ISP), website or other connections, availability oraccessibility or miscommunications or failed computer, satellite, telephone orcable transmissions, lines or technical failures or difficulties, or othererrors of any kind whether human, mechanical, electronic, network,typographical, printing or otherwise relating to or in connection with theContest, including, without limitation, errors which may occur in connectionwith the administration of the Contest, the processing of entries, theannouncement of the prizes or any Contest-related materials; or the incorrector inaccurate capture of any entry or other such information or the failure tocapture any such information. Released Parties are also not responsible for anyincorrect or inaccurate information, whether caused by site users, tampering,hacking, or by any equipment or programming associated with or utilized in theContest. Released parties are not responsible for injury or damage toparticipants' or to any other person's computer related to or resulting fromparticipating in the Contest or downloading materials from or use of Sponsor'sweb sites. Persons who tamper with or abuse any aspect of the Contest or thewebsites of Sponsor or its affiliates, as solely determined by Sponsor, will bedisqualified. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OFCRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THERIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW(AND TO DISQUALIFY SUCH PERSON FROM THE CONTEST, IF APPLICABLE).

Should any portion of the Contest be, in Sponsor's solediscretion, compromised by virus, worms, bugs, non-authorized humanintervention or other causes which, in the sole discretion of Sponsor, corruptor impair the administration, security, fairness or proper play, or submissionof entries, Sponsor reserves the right at its sole discretion to cancel,terminate, modify or suspend the Contest in any manner, and conduct judgingfrom amongst all eligible, non-suspect entries received prior to action taken.

12. PUBLICITY: Thewinner, by acceptance of a prize, except where legally prohibited, grantspermission to Sponsor and its designees to use his/her name, address (city andstate), photograph, voice, and/or other likeness and prize information foradvertising, trade and promotional purposes without further compensation, inall media now known or hereafter discovered, worldwide, in perpetuity, withoutnotice or review or approval.

13. CONDITIONS: By entering thisContest, you release and agree to defend, hold harmless Sponsor, its parents,subsidiaries and affiliates, its licensees, successors and assigns, itspromotional and advertising agencies, as well as the officers, directors,employees, representatives and agents of each of the foregoing entities, fromany and all claims (whether resulting in ultimate liability or not), damage,loss or liability to person or property, due in whole or part, directly orindirectly, by reason of the production and/or submission to or use by Sponsor,of your Trailer and/or its contents or by reason of the acceptance, possession,use or misuse of any prize or participation in the Contest. These OfficialRules cannot be modified or waived except in writing and unless signed by allparties.

14. JURISDICTION AND ARBITRATION: TheseOfficial Rules are governed by the laws of the State of California withoutregard to choice of law rules. Any and all controversies concerning theTrailer, the Contest and/or the Official Rules, or the right of either party tovoid or avoid the Official Rules on any ground, or the construction,performance, operation, breach, continuance or termination of the same shall besettled by arbitration in Los Angeles, California, under the rules thenprevailing of the American Arbitration Association, unless the parties are ableto arrive at a mutually satisfactory resolution of any such controversy byagreement. The arbitrator shallhave the powers with respect to discovery of a Judge of the Superior Court of theState of California pursuant to California Code of Civil Procedure '' 22016 etseq. The arbitrator(s) shall setforth in writing their findings of fact and conclusions of law and shall rendertheir award based thereon. Upon applicationby either party to a court for an order confirming, modifying or vacating the award,the court shall have the power to review (a) whether the findings of factrendered by the arbitrator(s) are supported by substantial evidence and (b)whether, as a matter of law based on such findings of fact, the award should beconfirmed, modified or vacated. Upon such determination judgment shall be entered in favor either partyconsistent therewith.

15. WINNER’S LIST:For the name of the winner, send a self-addressed, stamped envelope to LEFTON MISSION TRAILER CONTEST, c/o Boom!Studios, 1800 Century Park East, Suite 200, Los Angeles, CA 90067, by May 31,2007.
